By using ShopBooks, you agree to these terms. If you do not agree, do not use the service.
The Service
ShopBooks provides tools for document processing, invoice generation, and related business services. The service is provided for convenience only. You are solely responsible for verifying the accuracy of all output before use.
Not Professional Advice
ShopBooks is not an accounting, tax, legal, or financial advisory service. The invoices and data generated by the service are for informational and convenience purposes only. You should consult a qualified professional for accounting, tax, or legal advice. We are not responsible for errors in invoices or any decisions made based on output from the service.
Your Content
You retain ownership of all files and documents you upload to ShopBooks.
By using the service, you grant ShopBooks a non-exclusive, worldwide, royalty-free license to use, process, and analyze your uploaded content to provide, improve, and develop the service. This license survives termination of your account with respect to de-identified or aggregated data.
Derived Data
We may derive aggregated, de-identified, or anonymous data from your use of the service. Such derived data is not considered your content and may be used by ShopBooks for any lawful purpose, including analytics, product development, and industry research.
No Affiliation
ShopBooks is not affiliated with, endorsed by, or sponsored by CCC Intelligent Solutions Inc. or any other third party. CCC® is a registered trademark of CCC Intelligent Solutions Inc. We have no relationship with CCC or any insurance, automotive, or software company.
Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.
Your Responsibilities
- You must be at least 18 years old
- You are responsible for the accuracy of files you upload
- You are responsible for reviewing all invoices before use
- You must not use the service for fraudulent or illegal purposes
- You are responsible for maintaining your own backups
Restrictions
You agree not to:
- Reverse engineer, decompile, or attempt to extract the source code of the service
- Use automated means (bots, scrapers, etc.) to access or collect data from the service
- Resell, sublicense, or redistribute the service or any output generated by it
- Interfere with or disrupt the integrity or performance of the service
- Attempt to gain unauthorized access to other users' accounts or data
Intellectual Property
The service, including its design, features, and underlying technology, is the exclusive property of ShopBooks and its licensors. Nothing in these terms grants you any right to use our trademarks, logos, or branding. All rights not expressly granted are reserved.
No Warranties
THE SERVICE IS PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR AVAILABLE. WE MAKE NO GUARANTEES ABOUT THE SECURITY, INTEGRITY, OR AVAILABILITY OF YOUR DATA.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHOPBOOKS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE. IN NO EVENT SHALL SHOPBOOKS' TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification
You agree to indemnify and hold ShopBooks harmless from any claims, damages, or expenses arising from your use of the service, your violation of these terms, or your violation of any third-party rights.
Payments and Subscriptions
Certain features of the service require a paid subscription. By subscribing, you agree to the following:
- Subscriptions are billed monthly and renew automatically until cancelled
- Payment is processed by our third-party payment provider (currently Stripe). We do not store your credit card information
- You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods
- We reserve the right to change pricing with at least 30 days' notice. Continued use after a price change constitutes acceptance
- If payment fails, we may suspend access to paid features until payment is resolved
Free-tier usage is subject to the limits described on the service. We may modify free-tier limits at any time.
Service Changes
We may modify, suspend, or discontinue the service at any time without notice. We may also change pricing subject to the notice provisions above.
Uploaded Files
Uploaded files are processed upon upload and automatically deleted within 15 days. We are not liable for the loss of any uploaded files after this retention period.
Termination
We may terminate your access at any time for any reason. You may stop using the service at any time. Upon termination, your right to access the service ceases immediately. Data retention and deletion after termination is governed by our Privacy Policy.
Dispute Resolution and Arbitration
Any dispute, claim, or controversy arising out of or relating to these terms or the service shall be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, rather than in court. The arbitration shall take place in San Francisco County, California. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.
CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST SHOPBOOKS.
For claims under $10,000, either party may elect small claims court in San Francisco County, California instead of arbitration.
Governing Law
These terms are governed by the laws of the State of California, without regard to conflict of law principles.
Force Majeure
ShopBooks shall not be liable for any failure or delay in performing obligations under these terms due to causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, third-party service outages, power outages, or cyberattacks.
Entire Agreement
These terms, together with our Privacy Policy, constitute the entire agreement between you and ShopBooks regarding the service and supersede all prior agreements, representations, and understandings.
Severability
If any part of these terms is found unenforceable, the remaining parts remain in effect.
Changes to Terms
We may update these terms at any time. Continued use of the service constitutes acceptance of changes.
